Legal
Terms
Marketplace Terms
These Marketplace Terms set out the conditions for using the Ghosts IDs platform and for buying and selling the digital products listed on it. By accessing or using the Platform, you agree to them. They apply to all Users, anywhere in the world; some features may not be available in every territory or to every User.
The platform
-
Binding agreement. These Terms are a binding contract between you, as a User, and Ghosts IDs, and govern your access to and use of the Ghosts IDs website and its subdomains, and of any other site, interface or application through which Ghosts IDs makes its services available (“Platform”).
-
What Ghosts IDs is. Ghosts IDs is a curated marketplace for exclusive music. It provides the infrastructure through which Sellers list their tracks (“Works”) and Buyers preview and buy them, reviews and approves each Work before it is listed, administers the transaction and the payment, and delivers the files and the documents of each sale.
-
What Ghosts IDs is not. By performing that role, Ghosts IDs is not the author, composer, producer or original rights holder of the Works, and is not a party to the creative work. The rights in each Work are transferred directly from the Seller to the Buyer under the Transfer of Rights Agreement.
-
Licence to use the Platform. Once you accept these Terms, Ghosts IDs grants you a non-exclusive licence to use the Platform. The Platform is provided as is, and its features may be modified, replaced or removed at any time, without prior notice.
-
Changes to these Terms. Ghosts IDs may modify these Terms at any time. The revised Terms will be published on the Platform with the date of the last update, and registered Users will be notified before the changes take effect. If you disagree with the new version, you may stop using the Platform and close your account. Continued use after the effective date means you accept the changes. Changes never alter a sale that has already been completed.
Accounts
-
Registration. To buy or sell, you must provide complete and accurate information. Ghosts IDs may use legally permitted methods to verify your identity and may request additional information at any time. False, incorrect or incomplete information may lead to suspension or cancellation of the account.
-
Age. You must be at least 18 years old, or of legal age to enter into contracts in your country, to buy or sell on the Platform.
-
Suspended accounts. If Ghosts IDs limits your access, suspends your account or terminates this contract, you may not register a new account, nor use the Platform through another User’s account, without prior authorisation from Ghosts IDs.
Buying
-
Exclusive sales. Each Work is sold once, to a single Buyer. When the payment is confirmed, the Work is permanently removed from sale and can no longer be previewed.
-
Transfer of rights. With the purchase, the Buyer acquires all economic rights in the Work, including copyright in the composition and in the master recording, under the terms of the Transfer of Rights Agreement accepted at checkout. The Buyer may use, modify, reproduce, distribute and commercially exploit the Work in any form or medium, without restriction as to territory or time, and owes no royalties, fees or other compensation to the Seller or to Ghosts IDs.
-
What is delivered. The Buyer receives the final version of the Work, mixed and mastered, as a WAV file (24-bit or 16-bit), as stated on the Work’s page and in the Transaction Record. The project file is delivered only when it is part of the order: purchased as an add-on, or included at no cost as a loyalty benefit.
-
Prices and currency. Prices are shown in the currency selected by the Buyer and the payment is processed in the currency and for the amount shown when the Buyer confirms the payment.
-
Promotional prices and loyalty benefits. Ghosts IDs may offer a Work at a promotional price and may grant loyalty benefits to registered Buyers, such as a percentage off the price of a Work or a project file included at no cost, according to the number of Works bought with the same account. The rules in force are shown in the Buyer’s account and the benefit is applied automatically at checkout. A percentage discount applies to the price of the Work only, never to the project-file add-on; in an order with several Works it applies to the lowest-priced one; and it is not combined with a promotional price: the lower of the two prices applies. Benefits are personal to the account, cannot be transferred, exchanged or converted into money, and have no value outside the Platform. Ghosts IDs may change or end the promotional prices and the loyalty rules at any time; a benefit already shown in a Buyer’s account as earned for a future purchase remains valid for that Buyer. A sale that is cancelled, reversed or refunded does not count towards any benefit. The price that counts for every purpose of the sale is the amount actually paid, as stated in the Transaction Record.
-
Sales are final. Works are exclusive digital products delivered immediately after payment. At checkout the Buyer expressly requests immediate delivery and acknowledges that, once the files have been delivered, the sale is final and cannot be cancelled, reversed or refunded, except where mandatory law gives the Buyer a right that cannot be waived or where the Seller has breached a warranty given in the Transfer of Rights Agreement.
-
No guarantee of results. Ghosts IDs does not promise or guarantee that you will achieve any performance, income or result from using the Platform or from acquiring any Work.
Selling
-
By approval only. Works are listed only after the Seller has accepted the Seller Agreement and Ghosts IDs has reviewed and approved the Work. Ghosts IDs may refuse any Work at its discretion.
-
Seller’s responsibility. The Seller is responsible for the ownership and origin of each Work: for having the authority to sell it, for its originality, and for the licences of any samples and the authorisations of any collaborators. Works are offered for sale exclusively on the Platform; Ghosts IDs is not responsible for any sale made outside it.
-
Anonymity. Sellers are shown on the Platform under an anonymous identifier. Ghosts IDs keeps each Seller’s verified identity on record and discloses it only where the Transfer of Rights Agreement or the law requires.
-
Payouts. Amounts owed to a Seller are paid to the bank account registered in the Seller’s account, under the conditions of the Seller Agreement. If the contract ends, any remaining balance is transferred within 30 (thirty) days of the request.
Rules for everyone
-
Compliance with the law. You are responsible for identifying and complying with all laws, rules and regulations that apply to your use of the Platform, including those on intellectual property and on taxes. If you are unsure how local laws apply to you, seek your own legal or accounting advice.
-
Platform content. The trademarks, names, domains, designs, texts, audio previews, software and other materials of the Platform belong to Ghosts IDs or are licensed to it. Reproducing, distributing or publishing any of them, in whole or in part, is prohibited without express authorisation. Recording, downloading or redistributing the audio previews is prohibited.
-
Use of the Ghosts IDs name. You may not use any Ghosts IDs trademark, logo or name to promote products, nor imply that Ghosts IDs is associated with, has approved or has certified a release.
-
Preventive measures. Ghosts IDs may adopt preventive measures to investigate possible violations of these Terms or to protect its own interests or those of third parties, including the temporary suspension of an account or of a listing, for as long as needed to verify the problem. No compensation is due for measures applied on these grounds.
-
Protecting the community. Ghosts IDs may suspend or interrupt its services, cancel a User’s licence or remove a Work from the Platform, at any time and with or without prior notice, for reasons such as: (a) breach of these Terms or of the other Ghosts IDs agreements; (b) fraud or attempted fraud; (c) any conduct, on or off the Platform, that may harm Ghosts IDs, its Users or its reputation.
-
Disputes between Users. Ghosts IDs is not responsible for disputes or damages arising from the relationship between Users, or between Users and third parties. Within its capabilities, it may act as a mediator between Seller and Buyer.
-
Limitation of liability. To the extent permitted by applicable law, Ghosts IDs is not liable for indirect or consequential damages, loss of income, loss of data or interruption of the service. Nothing in these Terms excludes liability that cannot be excluded by law.
-
Privacy. Ghosts IDs cares about your privacy. The processing of personal data related to your use of the Platform is described in the Terms of Use and Privacy.
General
-
Order of precedence. For matters specific to a sale, the Transaction Record and the Transfer of Rights Agreement prevail over these Terms. For the relationship between a Seller and Ghosts IDs, the Seller Agreement prevails. For the general use of the Platform, these Terms apply.
-
Governing law and jurisdiction. These Terms are governed by the laws of the Federative Republic of Brazil. Any dispute arising from them will be resolved by the courts of the city where Ghosts IDs has its registered office, in Brazil, without prejudice to mandatory rules that protect consumers in their country of residence.
-
Contact. For any question or request related to these Terms, contact our support team at contact@ghostsids.com.br.
Terms of Use and Privacy
These Terms of Use and Privacy Policy (“Terms”) govern access to and use of the Ghosts IDs website, platform, services and related interfaces (“Platform” or “Services”). They also describe how Ghosts IDs collects, uses, stores and protects personal data.
These Terms apply together with the Marketplace Terms and, where applicable, the Seller Agreement, Transfer of Rights Agreement and Transaction Record.
By accessing, registering for or using the Platform, you acknowledge that you have read and accepted these Terms.
1. Acceptance and use of the Platform
1.1 Acceptance
By accessing or using the Services, you agree to the version of these Terms in force at that time.
If you do not agree with these Terms, you must not use the Platform.
1.2 Changes
Ghosts IDs may update these Terms as a result of changes to the Platform, its Services, applicable law, security requirements, business operations or technological tools.
The current version will be made available on the Platform together with its latest update date.
Where appropriate, registered Users may also be notified of material changes before they take effect.
Changes do not retroactively alter transactions already completed under an earlier version of the applicable agreements.
1.3 Availability of Services
Ghosts IDs may modify, update, replace, suspend or discontinue features of the Platform where reasonably necessary for operational, technical, security, legal or commercial reasons.
This does not alter rights already acquired under a completed transaction.
2. Accounts and restricted areas
Certain areas and Services may require registration and authentication.
Users must provide complete, accurate and current information and are responsible for keeping their login credentials confidential.
Users are responsible for activity carried out through their accounts, except where such activity results from circumstances for which the User is not legally responsible.
Ghosts IDs may request additional information where reasonably necessary for identity verification, fraud prevention, payment processing, Seller verification, compliance or security.
False, misleading or incomplete information may result in restrictions, suspension or termination of access to the Platform.
Ghosts IDs may temporarily restrict or suspend access where reasonably necessary to investigate suspected fraud, unauthorised access, infringement of intellectual property rights, breach of the applicable agreements or threats to the security of the Platform or its Users.
3. Digital products and final sales
Works offered through Ghosts IDs are exclusive digital products involving the delivery of digital files and the transfer of rights under the applicable Transfer of Rights Agreement.
Before completing a purchase, the Buyer has the opportunity to review the Work, its preview, price, available files and the applicable contractual conditions.
By confirming a purchase, the Buyer expressly requests the transaction and, where applicable, immediate delivery of the purchased digital files.
Except where otherwise required by mandatory applicable law or expressly provided in the Transfer of Rights Agreement, all sales are final once the purchased files have been delivered.
Ghosts IDs does not offer refunds, returns, exchanges or cancellations merely because a Buyer changes their mind, no longer intends to release or use the Work, later prefers another Work, purchased the Work without completing a planned release, or no longer wishes to commercially exploit it.
A digital file that has been delivered cannot practically be returned in the same manner as a physical product, and delivery may involve the transfer of exclusive rights that affects the Seller and removes the Work from further sale.
Nothing in this section limits any right or remedy that cannot legally be excluded or waived.
4. Personal data we may collect
Depending on how a User interacts with the Platform, Ghosts IDs may collect and process information including:
- full name;
- username and account identifier;
- email address;
- country and general location information;
- billing information;
- tax information where required;
- payment and payout information;
- information necessary to verify the identity of Sellers;
- transaction and purchase history;
- Works submitted, purchased or sold;
- Seller identifiers;
- communications with support;
- account preferences;
- device and browser information;
- IP address;
- authentication and security information;
- access and activity logs;
- cookie identifiers and similar technical information;
- information relating to suspected fraud, security incidents or contractual violations; and
- other information voluntarily provided through the Platform.
Ghosts IDs seeks to collect only information reasonably necessary for the purposes for which it is processed.
5. How personal data is used
Personal data may be processed for purposes including:
- creating and maintaining User accounts;
- authenticating Users;
- processing purchases and sales;
- administering payments and Seller payouts;
- delivering purchased files;
- generating Transaction Records and contractual documentation;
- recording acceptance of agreements and their applicable versions;
- verifying Sellers and their identities;
- maintaining the connection between an anonymous Seller identifier and the Seller’s verified identity;
- providing customer support;
- communicating about transactions and accounts;
- operating and improving the Platform;
- preventing fraud, abuse and unauthorised access;
- investigating suspected contractual or intellectual-property violations;
- maintaining security and technical logs;
- complying with legal, regulatory, tax and accounting obligations;
- establishing, exercising or defending legal rights;
- protecting Ghosts IDs, its Users and third parties; and
- sending marketing communications where legally permitted.
Ghosts IDs processes personal data only where there is an appropriate legal basis under applicable data-protection law, including where processing is necessary for the performance of a contract, compliance with a legal or regulatory obligation, the exercise of rights, legitimate interests where permitted, or consent where consent is required.
6. Seller identity and anonymity
Ghosts IDs may collect and retain information necessary to verify the legal identity of Sellers.
A Seller may be represented publicly through an anonymous identifier or approved pseudonym.
Public anonymity does not prevent Ghosts IDs from maintaining confidential records linking that identifier to the Seller’s verified identity.
Seller identity information may be used or disclosed where reasonably necessary to administer or prove a transaction, enforce an agreement, comply with applicable law, respond to a lawful request, resolve a rights dispute or protect the legitimate rights of Ghosts IDs, a Buyer, a Seller or a third party.
Ghosts IDs will not publicly disclose a Seller’s verified identity merely because the Seller uses the Platform.
7. Transaction and contractual records
Ghosts IDs may maintain records relating to transactions carried out through the Platform, including:
- Transaction ID;
- Track or Work ID;
- Seller identifier;
- Buyer information;
- date and time of the transaction;
- purchase price and currency;
- files delivered;
- payment status;
- applicable agreement versions;
- electronic acceptance records;
- master or file identifiers;
- relevant security and access records; and
- other information reasonably necessary to establish the existence, content and performance of the transaction.
These records may be retained after an account is closed where reasonably necessary to establish or defend legal rights, maintain the integrity of rights-transfer records, comply with legal obligations, prevent fraud or resolve disputes.
8. Payments
Payments may be processed through third-party payment service providers.
Depending on the payment method used, payment information may be collected and processed directly by those providers under their own privacy policies and contractual terms.
Ghosts IDs may receive information from payment providers concerning the status of a transaction, payment confirmation, payment failure, fraud indicators and other information reasonably necessary to administer the transaction.
Ghosts IDs does not necessarily receive or store complete payment-card information where payment processing is performed directly by an independent payment provider.
9. Sharing of personal data
Ghosts IDs does not sell Users’ personal data.
Personal data may be shared where reasonably necessary with service providers involved in operating the Platform, including providers of:
- payment processing;
- hosting and cloud infrastructure;
- authentication;
- email and transactional communications;
- analytics;
- security and fraud prevention;
- accounting, tax or financial services;
- customer support; and
- technical infrastructure.
Information may also be disclosed where necessary to comply with applicable law, court orders or lawful governmental requests, to enforce the Ghosts IDs agreements, to investigate suspected unlawful conduct, or to establish, exercise or defend legal rights.
Where appropriate, Ghosts IDs requires service providers handling personal data on its behalf to process that information consistently with applicable data-protection requirements.
10. International data transfers
Some technology, hosting, payment, analytics, security or other service providers used by Ghosts IDs may process information in countries other than the User’s country of residence.
Where personal data is transferred internationally, Ghosts IDs will take the measures required by applicable data-protection law for the relevant transfer.
11. Data retention
Ghosts IDs retains personal data for no longer than reasonably necessary for the purposes for which it was collected, subject to applicable legal, regulatory, contractual, accounting, tax, security and evidentiary requirements.
Different categories of information may therefore be retained for different periods.
Transaction records, rights-transfer documentation, contractual acceptance records and information necessary to establish the chain of rights in a Work may be retained for extended periods where reasonably necessary to preserve evidence of the transaction and the rights transferred through it.
Deletion of an account does not automatically require deletion of information that Ghosts IDs must or is permitted to retain for these purposes.
Where information no longer needs to be retained, Ghosts IDs may delete or anonymise it in accordance with applicable law.
12. Security
Ghosts IDs adopts reasonable technical and organisational measures designed to protect personal data against unauthorised access, alteration, disclosure, loss, destruction and other unlawful or accidental processing.
No online service or electronic storage system can guarantee absolute security.
Users are responsible for protecting their login credentials and should notify Ghosts IDs if they reasonably suspect unauthorised access to their account.
Where required by applicable law, Ghosts IDs will take the appropriate measures in response to personal-data security incidents.
13. Cookies and similar technologies
13.1 What cookies are
Cookies are small files stored on a User’s device when visiting a website.
They may allow the Platform to remember preferences, maintain sessions, preserve shopping-cart information, authenticate Users, improve security, understand how the Platform is used and provide relevant functionality.
13.2 Types of cookies
Ghosts IDs may use cookies and similar technologies that are:
- strictly necessary for the operation and security of the Platform;
- functional, to remember User preferences;
- analytical, to understand use and performance of the Platform; or
- advertising or marketing related, where such technologies are used and legally permitted.
13.3 Managing cookies
Users may manage or disable cookies through their browser or, where available, through the Platform’s cookie controls.
Disabling certain cookies may prevent some parts of the Platform from functioning correctly.
Where applicable law requires consent before non-essential cookies or similar technologies are used, Ghosts IDs will request that consent.
14. Communications
Ghosts IDs may send communications that are necessary for the operation of an account or transaction, including payment confirmations, security messages, contractual documents, changes affecting a transaction and other service communications.
These transactional communications are distinct from marketing communications.
Marketing or promotional communications will be sent only where permitted by applicable law. Where applicable, Users may withdraw their consent or unsubscribe from marketing communications using the method provided in the relevant communication.
Unsubscribing from marketing does not prevent Ghosts IDs from sending communications necessary to administer an account, transaction, security matter or legal obligation.
15. Data subject rights
Subject to applicable law and the circumstances of the processing, Users may have rights concerning their personal data, including rights to:
- obtain confirmation that personal data is being processed;
- access personal data;
- correct incomplete, inaccurate or outdated information;
- request anonymisation, blocking or deletion where legally applicable;
- request portability where applicable;
- obtain information about relevant sharing of personal data;
- obtain information about the consequences of refusing consent where applicable;
- withdraw consent where processing is based on consent; and
- exercise other rights provided by applicable data-protection law.
A request to delete personal data does not require Ghosts IDs to delete information that must or may lawfully be retained for legal obligations, fraud prevention, security, contractual evidence, rights-transfer documentation, establishment or defence of legal claims or other legally permitted purposes.
Ghosts IDs may take reasonable steps to verify the identity of a person making a data-rights request before acting on it.
16. Third-party websites and services
The Platform may contain links to websites or services operated by third parties.
Ghosts IDs does not control those third parties and is not responsible for their independent privacy practices, security or content.
Users should review the terms and privacy policies applicable to third-party services they choose to use.
17. Intellectual property and Platform content
The Ghosts IDs name, trademarks, domains, visual identity, interface, designs, texts, software and other Platform materials belong to Ghosts IDs or are used under licence.
Nothing in these Terms grants a User ownership of Ghosts IDs intellectual property.
Rights in individual Works are governed by the Marketplace Terms and, where applicable, the Transfer of Rights Agreement and Seller Agreement.
18. Suspension and protection of the Platform
Ghosts IDs may restrict or suspend an account or access to particular Services where reasonably necessary to:
- investigate suspected fraud or unlawful conduct;
- investigate a suspected violation of the applicable agreements;
- prevent unauthorised access;
- protect intellectual-property rights;
- protect Users or the security of the Platform;
- comply with a legal requirement; or
- address material technical or security risks.
Measures may remain in place for the period reasonably necessary to investigate or address the relevant issue.
19. Relationship with the Marketplace Terms
These Terms govern general access to the Platform and the processing of personal data.
Purchases and sales of Works are also governed by the Marketplace Terms.
Where applicable, Sellers are additionally bound by the Seller Agreement and individual sales are governed by the applicable Transfer of Rights Agreement and Transaction Record.
For matters specific to the transfer of rights in a Work, the order of precedence established in the Marketplace Terms and Transfer of Rights Agreement applies.
20. Children and contractual capacity
The Platform is not intended for persons who do not have the legal capacity required to enter into the transactions offered through Ghosts IDs.
A person must be at least 18 years old, or otherwise have the legal capacity required under applicable law, to buy or sell through the Platform.
21. Contact
Questions concerning these Terms, privacy, personal-data processing or the exercise of data-protection rights may be submitted to:
Ghosts IDs
Email: contact@ghostsids.com.br
Ghosts IDs may request information reasonably necessary to verify the identity of a person making a privacy or data-rights request.
22. Applicable law
These Terms are governed by the laws of the Federative Republic of Brazil, subject to any mandatory rules that cannot legally be excluded.
Questions concerning a specific purchase, sale or transfer of rights are also subject to the governing-law and jurisdiction provisions contained in the Marketplace Terms and the applicable Transfer of Rights Agreement.
Transfer of Rights Agreement
Version 0.3 (draft). This agreement is formed between the Seller and the Buyer for each track in the order, through the Ghosts IDs marketplace. By accepting it, the Buyer also confirms having read and accepted the Marketplace Terms (Marketplace Terms and Terms of Use and Privacy).
Parties and definitions
-
Seller. The creator or rights holder who listed the Work for sale and who assigns the rights under this agreement (“Seller” or “Assignor”). The Seller is shown publicly only by an anonymous identifier (for example, Anonymous Seller #001). Ghosts IDs keeps the link between that identifier and the Seller’s verified identity.
-
Buyer. The person or company completing the purchase and acquiring the rights (“Buyer”).
-
Ghosts IDs. The marketplace through which the Work is listed, previewed, bought and sold. Ghosts IDs provides the infrastructure for the listing, administers the transaction and the payment, and delivers the files and the documents of the sale. By performing that role alone, Ghosts IDs is not the author, composer, producer or original rights holder of the Work, and does not become a creative party to it.
-
Work. Each track identified in the Transaction Record, comprising both the musical composition and the sound recording (master).
-
Transaction Record. The record issued by Ghosts IDs for each sale, which is an integral part of this agreement. It states: Track ID; track title; Seller (Assignor) ID; Buyer; Transaction ID; date and time; purchase price and currency; files delivered and their formats; whether the project file is included (yes or no); the version of this agreement accepted by the Buyer; and the file (master) identifier.
The sale
-
Exclusivity. The Seller offers the Work for sale on an exclusive basis and guarantees that it is sold only once, to a single Buyer. Once the payment is confirmed, Ghosts IDs permanently removes the listing from sale.
-
What is delivered. The Buyer receives the final version of the Work, mixed and mastered, as a WAV file (24-bit or 16-bit), as stated in the Transaction Record. The project file (the session in the software in which the Work was produced) is delivered only when it is part of the order, whether purchased as an add-on or included as a benefit. The exact files delivered are those listed in the Transaction Record.
-
Payment, delivery and no refunds. The assignment of rights takes effect when Ghosts IDs confirms receipt of the payment, and the files are delivered immediately afterwards. The Work is an exclusive digital product that cannot be returned once received: at checkout the Buyer expressly requests immediate delivery and acknowledges that, once the files have been delivered, the sale is final and cannot be cancelled, reversed or refunded. The only exceptions are the cases in which mandatory law gives the Buyer a right that cannot be waived, and a breach of the Seller’s warranties in clauses 19 to 21.
Rights transferred
-
Assignment of rights. The Seller assigns to the Buyer, in full and definitively, all economic rights in the Work — composition and master. The assignment is exclusive, irrevocable, valid worldwide and for the entire term of legal protection, and covers every form of use existing on the date of the sale, including but not limited to: reproduction, publication, distribution, sale, streaming, public performance, broadcasting, synchronisation, adaptation, remixing, and licensing, sub-licensing or assigning the Work to third parties such as labels, publishers and distributors.
-
Future forms of use. If a form of use that does not exist on the date of the sale later comes into existence, the Seller undertakes to extend this assignment to it, at the Buyer’s request and at no additional cost.
-
Royalties and income. All income generated by the Work after the sale belongs to the Buyer: 100% of royalties, publishing, master income, sales, streaming, performance and synchronisation fees. After the sale the Seller holds no royalty, publishing split, master royalty or any other future participation in the Work, unless the Transaction Record expressly states otherwise. The commission of Ghosts IDs is a matter between the Seller and the marketplace and never becomes a participation in the Work.
-
Release without credit. The Buyer may release, publish and exploit the Work under the Buyer’s own name, pseudonym, artist project, brand or company, with no obligation to credit or mention the Seller or the original creator, to the extent permitted by applicable law.
-
Registration. The Buyer may carry out, in the Buyer’s own name, every administrative registration needed to exploit the Work: collecting societies and performing rights organisations, publishers, labels, distributors, intellectual property offices, databases and platforms, including obtaining ISRC and ISWC codes. These registrations reflect the Buyer’s ownership of the economic rights; they are made for administrative purposes and are not a statement about who originally created the Work.
Moral rights, anonymity and confidentiality
-
Moral rights. Some moral rights of the original creator may be inalienable and cannot be waived under applicable law. Nothing in this agreement purports to sell them. To the fullest extent permitted by applicable law, the Seller undertakes, as a contractual obligation: (a) to remain anonymous in relation to the Work; (b) not to claim public credit or recognition as its author; (c) to authorise the Buyer to modify, edit, rearrange or transform the Work in any way; and (d) not to oppose any use of the Work permitted by this agreement. This anonymity is an essential condition of the sale.
-
Seller’s confidentiality. The Seller will not, at any time: reveal publicly or privately that they created or produced the Work; use the Work or the sale as portfolio material; publish before-and-after comparisons, excerpts, project screenshots, stems or any other material from the Work; claim credit for it; or reveal the identity of the Buyer or the terms of the sale. These obligations survive the sale indefinitely.
-
Buyer’s confidentiality. The Buyer will keep confidential the identity of the Seller, if it becomes known to the Buyer, and the terms of the sale, except where disclosure is required by law or necessary to enforce this agreement. If the Buyer breaches this clause, the Buyer owes the Seller a contractual penalty equal to the full price paid for the Work, plus compensation for all further damage caused.
-
No further use by the Seller. After the sale the Seller will not release, sell, license, distribute or otherwise exploit the Work, its stems or its project, nor reuse a substantial part of it in another track, in any way incompatible with the exclusive rights sold. The Seller may keep one archival copy solely as proof of the transaction, to the extent permitted.
-
Breach of anonymity or exclusivity. If the Seller breaches clauses 6, 14, 15 or 17, the Seller owes: (a) a contractual penalty equal to the full price paid for the Work, which is the minimum compensation due regardless of proof of damage; (b) reimbursement of the costs the Buyer has invested in the Work, such as release, promotion, artwork, video and professional fees; and (c) compensation for all further damage caused, including loss of income and reputational harm, which the parties expressly agree may be claimed in addition to the penalty. This is without prejudice to any other remedy available to the Buyer or to Ghosts IDs, including court orders to stop the breach.
Seller’s warranties
-
Authority and originality. The Seller warrants that: they have full authority to assign the rights in the Work; the Work is original in everything the Seller declared as original; it has never been released or made available to the public as a finished track; and it has not previously been sold, assigned or licensed in any way that conflicts with this agreement.
-
Collaborators. The Seller warrants having obtained all necessary authorisations and assignments from every composer, producer, vocalist, musician or other rights holder who contributed to the Work, so that the Buyer receives the rights free of third-party claims.
-
Samples and third-party material. The Seller warrants that every sample, loop, vocal or other third-party material in the Work is properly licensed for the uses covered by this agreement. Material subject to specific licence conditions must have been disclosed to Ghosts IDs before the listing, and is described on the listing or in the Transaction Record. The rights in such material itself remain with its original owners.
-
Administrative cooperation. After the sale the Seller will provide, on request and within a reasonable time, any signature, statement or documentation reasonably required by the Buyer for a label, publisher, distributor, collecting society or registration. Where needed to preserve the Seller’s anonymity, this cooperation is carried out through Ghosts IDs.
-
Indemnity by the Seller. If a warranty given by the Seller proves untrue and this gives rise to a copyright claim or to any other loss, the Seller bears the consequences provided for in this agreement and indemnifies the Buyer and Ghosts IDs, in the cases and within the limits permitted by applicable law.
Responsibilities
-
Buyer’s responsibility. From the moment the assignment takes effect, the Buyer is responsible for how the Work is exploited: releases, contracts with third parties, marketing and any other use. This does not remove the Seller’s responsibility for a breach of warranty that already existed at the time of the sale.
-
Role and liability of Ghosts IDs. Ghosts IDs is not responsible for the authorship or creation of the Work merely because it hosts the listing and intermediates the sale; it does not guarantee any commercial result from the Work; and it is not liable for the independent conduct of the Seller or of the Buyer. Any liability of Ghosts IDs is limited to the extent permitted by applicable law. Nothing in this clause excludes liability that cannot be excluded by law.
General
-
Electronic acceptance. The Buyer accepts this agreement electronically at checkout. Ghosts IDs records that consent together with evidence of the transaction — including date and time, the Buyer’s account and the exact version of the agreement accepted — and delivers a copy of the agreement and the Transaction Record to the Buyer together with the files.
-
Agreement version. The version of this agreement in force at the moment of the purchase, as stated in the Transaction Record, is the one that governs that sale. Later changes to this document do not alter a sale that has already been completed.
-
Order of precedence. For matters specific to a Work and its sale, the Transaction Record and this agreement prevail. For the general use of the platform, the Marketplace Terms apply. In case of conflict on a matter specific to the sale, the Transaction Record prevails first, then this agreement, then the Marketplace Terms.
-
Severability. If any clause of this agreement is found to be invalid or unenforceable, the remaining clauses continue in full force.
-
Governing law and jurisdiction. This agreement is governed by the laws of the Federative Republic of Brazil, including Law 9.610/1998 (Copyright Law). Any dispute arising from it will be resolved by the courts of the city where Ghosts IDs has its registered office, in Brazil, without prejudice to mandatory rules that protect the Buyer in the Buyer’s country of residence.
Seller Agreement
Version 0.1 (draft). This agreement is entered into between Ghosts IDs and each creator or rights holder who offers tracks for sale on the Platform (“Seller”). It must be accepted before any track is submitted. The Marketplace Terms also apply.
Becoming a Seller
-
Account and identity. The Seller creates an account and provides the information requested by Ghosts IDs to verify their identity, including full legal name, nationality, address and tax and payment details. Ghosts IDs keeps this information on record and links it internally to the Seller’s anonymous identifier.
-
Anonymous identifier. On the Platform and towards Buyers, the Seller is shown only under an anonymous identifier or, where agreed with Ghosts IDs, a pseudonym. The Seller’s real identity is disclosed only where the Transfer of Rights Agreement or the law requires.
Submitting a Work
-
Submission. The Seller submits each track (“Work”) to Ghosts IDs together with the requested information and files: the final version, mixed and mastered, in WAV (24-bit or 16-bit), and the project file in the software in which the Work was produced.
-
Declarations. With each submission the Seller declares: (a) who created the Work and every person who contributed to it; (b) every sample, loop, vocal or other third-party material it contains, with its source and licence; and (c) any licence condition that could limit how the Work is used.
-
Review and approval. Ghosts IDs reviews each submission and decides, at its sole discretion, whether to accept it. Only Ghosts IDs publishes a Work on the Platform. Approval is not a verification of the Seller’s declarations and does not transfer responsibility for them to Ghosts IDs.
-
Authorisation to list and sell. By submitting a Work, the Seller authorises Ghosts IDs to host it, to create and publish a preview of it, to promote it, to offer it for sale at the agreed price, to collect the payment and to deliver the files and the sale documents to the Buyer.
-
Price. The sale price of each Work and of its project-file add-on is agreed between the Seller and Ghosts IDs before the listing.
While the Work is listed
-
Exclusivity. While a Work is submitted or listed, the Seller will not offer, sell, license, release or share it anywhere else, in whole or in part.
-
Withdrawal before a sale. The Seller may ask Ghosts IDs to withdraw a Work that has not been sold or reserved. Ghosts IDs will remove the listing within a reasonable time. A Work that has been reserved or paid for cannot be withdrawn.
When the Work is sold
-
Transfer of rights. When a Buyer pays for a Work, the Transfer of Rights Agreement is automatically formed between the Seller and that Buyer, in the version in force at the time of the sale. The Seller is bound to carry out the assignment under that agreement and authorises Ghosts IDs to deliver it, together with the Transaction Record, on the Seller’s behalf.
-
Commission and payout. Ghosts IDs keeps the commission agreed with the Seller at the time of the listing and pays the remaining amount to the bank account registered in the Seller’s account within 30 (thirty) days of the confirmation of the payment. Payment-processing fees, taxes withheld by law and amounts returned to a Buyer because of a breach by the Seller are deducted from the payout.
-
No future participation. After the sale the Seller holds no royalty, publishing split, master royalty or any other participation in the Work. All income from the Work belongs to the Buyer.
-
Administrative cooperation. After the sale the Seller will provide, on request and within a reasonable time, any signature, statement or documentation reasonably required by the Buyer for a label, publisher, distributor, collecting society or registration. This cooperation is carried out through Ghosts IDs where needed to preserve the Seller’s anonymity.
Seller’s warranties
-
Authority and originality. The Seller warrants having full authority to sell and assign the rights in each Work; that the Work is original in everything declared as original; that it has never been released or made available to the public as a finished track; and that it has not been sold, assigned or licensed to anyone in a way that conflicts with an exclusive sale.
-
Collaborators. The Seller warrants having obtained all necessary authorisations and assignments from every composer, producer, vocalist, musician or other rights holder who contributed to the Work.
-
Samples and third-party material. The Seller warrants that every sample, loop, vocal or other third-party material in the Work is properly licensed for an exclusive sale and for commercial release by the Buyer, and that everything subject to specific conditions was disclosed at submission.
Anonymity and confidentiality
-
Anonymity. The Seller agrees to remain anonymous in relation to every Work sold, not to claim public credit or recognition as its author, to authorise the Buyer to modify or transform it, and not to oppose any use permitted by the Transfer of Rights Agreement — to the fullest extent permitted by applicable law.
-
Confidentiality. The Seller will not, at any time: reveal publicly or privately that they created or produced a Work sold through the Platform; use it or the sale as portfolio material; publish before-and-after comparisons, excerpts, project screenshots or stems; or reveal the identity of the Buyer or the terms of the sale. These obligations survive the sale and the end of this agreement indefinitely.
-
No further use. After the sale the Seller will not release, sell, license, distribute or otherwise exploit the Work, its stems or its project, nor reuse a substantial part of it in another track. The Seller may keep one archival copy solely as proof of the transaction.
Breach
-
Penalty. If the Seller breaches clauses 8, 17, 18 or 19, or if a warranty in clauses 14 to 16 proves untrue, the Seller owes: (a) a contractual penalty equal to the full price paid for the Work, which is the minimum compensation due regardless of proof of damage; (b) reimbursement of the costs the Buyer has invested in the Work; and (c) compensation for all further damage caused to the Buyer and to Ghosts IDs, which the parties expressly agree may be claimed in addition to the penalty.
-
Indemnity. The Seller indemnifies Ghosts IDs and the Buyer against any claim, loss or expense, including reasonable legal fees, arising from a breach of this agreement or from an untrue declaration or warranty, in the cases and within the limits permitted by applicable law.
-
Fraud. Submitting a Work that the Seller does not have the right to sell, or that was already released, sold or licensed, is treated as fraud. Ghosts IDs may remove the Seller’s Works, suspend the account, withhold pending payouts to cover the resulting losses and take the legal measures available.
General
-
Independence. The Seller acts independently. This agreement does not create employment, partnership or agency between the Seller and Ghosts IDs beyond the authorisations expressly given here.
-
Term and termination. This agreement applies for as long as the Seller has an account. Either party may end it at any time; Works already sold, and the obligations of clauses 12, 13 and 17 to 22, are not affected.
-
Agreement version. The version of this agreement in force when a Work is submitted governs that Work. Ghosts IDs records the Seller’s electronic acceptance together with the date, the account and the version accepted.
-
Severability. If any clause of this agreement is found to be invalid or unenforceable, the remaining clauses continue in full force.
-
Governing law and jurisdiction. This agreement is governed by the laws of the Federative Republic of Brazil. Any dispute arising from it will be resolved by the courts of the city where Ghosts IDs has its registered office, in Brazil.
