    Transfer of Rights Agreement

Between the Seller and you, for: . Ghosts IDs acts as the marketplace. Scroll to read it in full.

Version 0.3 (draft). This agreement is formed between the Seller and the Buyer for each track in the order, through the Ghosts IDs marketplace. By accepting it, the Buyer also confirms having read and accepted the Marketplace Terms (Marketplace Terms and Terms of Use and Privacy).

    Parties and definitions

    1. Seller. The creator or rights holder who listed the Work for sale and who assigns the rights under this agreement (“Seller” or “Assignor”). The Seller is shown publicly only by an anonymous identifier (for example, Anonymous Seller #001). Ghosts IDs keeps the link between that identifier and the Seller’s verified identity.

    2. Buyer. The person or company completing the purchase and acquiring the rights (“Buyer”).

    3. Ghosts IDs. The marketplace through which the Work is listed, previewed, bought and sold. Ghosts IDs provides the infrastructure for the listing, administers the transaction and the payment, and delivers the files and the documents of the sale. By performing that role alone, Ghosts IDs is not the author, composer, producer or original rights holder of the Work, and does not become a creative party to it.

    4. Work. Each track identified in the Transaction Record, comprising both the musical composition and the sound recording (master).

    5. Transaction Record. The record issued by Ghosts IDs for each sale, which is an integral part of this agreement. It states: Track ID; track title; Seller (Assignor) ID; Buyer; Transaction ID; date and time; purchase price and currency; files delivered and their formats; whether the project file is included (yes or no); the version of this agreement accepted by the Buyer; and the file (master) identifier.

    The sale

    1. Exclusivity. The Seller offers the Work for sale on an exclusive basis and guarantees that it is sold only once, to a single Buyer. Once the payment is confirmed, Ghosts IDs permanently removes the listing from sale.

    2. What is delivered. The Buyer receives the final version of the Work, mixed and mastered, as a WAV file (24-bit or 16-bit), as stated in the Transaction Record. The project file (the session in the software in which the Work was produced) is delivered only when it is part of the order, whether purchased as an add-on or included as a benefit. The exact files delivered are those listed in the Transaction Record.

    3. Payment, delivery and no refunds. The assignment of rights takes effect when Ghosts IDs confirms receipt of the payment, and the files are delivered immediately afterwards. The Work is an exclusive digital product that cannot be returned once received: at checkout the Buyer expressly requests immediate delivery and acknowledges that, once the files have been delivered, the sale is final and cannot be cancelled, reversed or refunded. The only exceptions are the cases in which mandatory law gives the Buyer a right that cannot be waived, and a breach of the Seller’s warranties in clauses 19 to 21.

    Rights transferred

    1. Assignment of rights. The Seller assigns to the Buyer, in full and definitively, all economic rights in the Work — composition and master. The assignment is exclusive, irrevocable, valid worldwide and for the entire term of legal protection, and covers every form of use existing on the date of the sale, including but not limited to: reproduction, publication, distribution, sale, streaming, public performance, broadcasting, synchronisation, adaptation, remixing, and licensing, sub-licensing or assigning the Work to third parties such as labels, publishers and distributors.

    2. Future forms of use. If a form of use that does not exist on the date of the sale later comes into existence, the Seller undertakes to extend this assignment to it, at the Buyer’s request and at no additional cost.

    3. Royalties and income. All income generated by the Work after the sale belongs to the Buyer: 100% of royalties, publishing, master income, sales, streaming, performance and synchronisation fees. After the sale the Seller holds no royalty, publishing split, master royalty or any other future participation in the Work, unless the Transaction Record expressly states otherwise. The commission of Ghosts IDs is a matter between the Seller and the marketplace and never becomes a participation in the Work.

    4. Release without credit. The Buyer may release, publish and exploit the Work under the Buyer’s own name, pseudonym, artist project, brand or company, with no obligation to credit or mention the Seller or the original creator, to the extent permitted by applicable law.

    5. Registration. The Buyer may carry out, in the Buyer’s own name, every administrative registration needed to exploit the Work: collecting societies and performing rights organisations, publishers, labels, distributors, intellectual property offices, databases and platforms, including obtaining ISRC and ISWC codes. These registrations reflect the Buyer’s ownership of the economic rights; they are made for administrative purposes and are not a statement about who originally created the Work.

    Moral rights, anonymity and confidentiality

    1. Moral rights. Some moral rights of the original creator may be inalienable and cannot be waived under applicable law. Nothing in this agreement purports to sell them. To the fullest extent permitted by applicable law, the Seller undertakes, as a contractual obligation: (a) to remain anonymous in relation to the Work; (b) not to claim public credit or recognition as its author; (c) to authorise the Buyer to modify, edit, rearrange or transform the Work in any way; and (d) not to oppose any use of the Work permitted by this agreement. This anonymity is an essential condition of the sale.

    2. Seller’s confidentiality. The Seller will not, at any time: reveal publicly or privately that they created or produced the Work; use the Work or the sale as portfolio material; publish before-and-after comparisons, excerpts, project screenshots, stems or any other material from the Work; claim credit for it; or reveal the identity of the Buyer or the terms of the sale. These obligations survive the sale indefinitely.

    3. Buyer’s confidentiality. The Buyer will keep confidential the identity of the Seller, if it becomes known to the Buyer, and the terms of the sale, except where disclosure is required by law or necessary to enforce this agreement. If the Buyer breaches this clause, the Buyer owes the Seller a contractual penalty equal to the full price paid for the Work, plus compensation for all further damage caused.

    4. No further use by the Seller. After the sale the Seller will not release, sell, license, distribute or otherwise exploit the Work, its stems or its project, nor reuse a substantial part of it in another track, in any way incompatible with the exclusive rights sold. The Seller may keep one archival copy solely as proof of the transaction, to the extent permitted.

    5. Breach of anonymity or exclusivity. If the Seller breaches clauses 6, 14, 15 or 17, the Seller owes: (a) a contractual penalty equal to the full price paid for the Work, which is the minimum compensation due regardless of proof of damage; (b) reimbursement of the costs the Buyer has invested in the Work, such as release, promotion, artwork, video and professional fees; and (c) compensation for all further damage caused, including loss of income and reputational harm, which the parties expressly agree may be claimed in addition to the penalty. This is without prejudice to any other remedy available to the Buyer or to Ghosts IDs, including court orders to stop the breach.

    Seller’s warranties

    1. Authority and originality. The Seller warrants that: they have full authority to assign the rights in the Work; the Work is original in everything the Seller declared as original; it has never been released or made available to the public as a finished track; and it has not previously been sold, assigned or licensed in any way that conflicts with this agreement.

    2. Collaborators. The Seller warrants having obtained all necessary authorisations and assignments from every composer, producer, vocalist, musician or other rights holder who contributed to the Work, so that the Buyer receives the rights free of third-party claims.

    3. Samples and third-party material. The Seller warrants that every sample, loop, vocal or other third-party material in the Work is properly licensed for the uses covered by this agreement. Material subject to specific licence conditions must have been disclosed to Ghosts IDs before the listing, and is described on the listing or in the Transaction Record. The rights in such material itself remain with its original owners.

    4. Administrative cooperation. After the sale the Seller will provide, on request and within a reasonable time, any signature, statement or documentation reasonably required by the Buyer for a label, publisher, distributor, collecting society or registration. Where needed to preserve the Seller’s anonymity, this cooperation is carried out through Ghosts IDs.

    5. Indemnity by the Seller. If a warranty given by the Seller proves untrue and this gives rise to a copyright claim or to any other loss, the Seller bears the consequences provided for in this agreement and indemnifies the Buyer and Ghosts IDs, in the cases and within the limits permitted by applicable law.

    Responsibilities

    1. Buyer’s responsibility. From the moment the assignment takes effect, the Buyer is responsible for how the Work is exploited: releases, contracts with third parties, marketing and any other use. This does not remove the Seller’s responsibility for a breach of warranty that already existed at the time of the sale.

    2. Role and liability of Ghosts IDs. Ghosts IDs is not responsible for the authorship or creation of the Work merely because it hosts the listing and intermediates the sale; it does not guarantee any commercial result from the Work; and it is not liable for the independent conduct of the Seller or of the Buyer. Any liability of Ghosts IDs is limited to the extent permitted by applicable law. Nothing in this clause excludes liability that cannot be excluded by law.

    General

    1. Electronic acceptance. The Buyer accepts this agreement electronically at checkout. Ghosts IDs records that consent together with evidence of the transaction — including date and time, the Buyer’s account and the exact version of the agreement accepted — and delivers a copy of the agreement and the Transaction Record to the Buyer together with the files.

    2. Agreement version. The version of this agreement in force at the moment of the purchase, as stated in the Transaction Record, is the one that governs that sale. Later changes to this document do not alter a sale that has already been completed.

    3. Order of precedence. For matters specific to a Work and its sale, the Transaction Record and this agreement prevail. For the general use of the platform, the Marketplace Terms apply. In case of conflict on a matter specific to the sale, the Transaction Record prevails first, then this agreement, then the Marketplace Terms.

    4. Severability. If any clause of this agreement is found to be invalid or unenforceable, the remaining clauses continue in full force.

    5. Governing law and jurisdiction. This agreement is governed by the laws of the Federative Republic of Brazil, including Law 9.610/1998 (Copyright Law). Any dispute arising from it will be resolved by the courts of the city where Ghosts IDs has its registered office, in Brazil, without prejudice to mandatory rules that protect the Buyer in the Buyer’s country of residence.
